Terms of Service
Last Updated: September 2026
1. Introduction and Acceptance
Welcome to PDFZento. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and the operators of PDFZento ("PDFZento", "we", "us", or "our") governing your access to and use of the website located at https://pdfzento.com, including all related subdomains, web applications, browser-based tools, APIs, features, and documentation (collectively, the "Service").
Please read these Terms carefully before accessing or using the Service. By accessing, browsing, interacting with, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. Where required by applicable law, your explicit electronic agreement or continued use of the Service confirms your acceptance.
Notice: If you do not agree to these Terms in their entirety, you must not access, interact with, or use PDFZento or any of its tools.
2. Who We Are and Operating Structure
PDFZento is an independent online platform providing client-side and cloud-assisted document processing utilities.
Operating Entity Notice: PDFZento is operated by [LEGAL ENTITY NAME: e.g., PDFZento Operations / Operating Company Name], a company organized under the laws of [JURISDICTION: e.g., State/Province, Country], having its registered business address at [REGISTERED ADDRESS]. All official legal inquiries regarding these Terms must be directed through the verified communication channels specified in Section 24 (Contact Information).
3. Eligibility, Authority and Account Security
You may access and use the Service only if you have the legal capacity and authority to form a binding agreement under the laws applicable to you.
- Legal Capacity: You must possess the legal capacity to enter into a binding agreement under the laws of your jurisdiction. If you are not legally able to enter into this agreement yourself, you may use the Service only with the involvement, supervision, and verifiable consent of a parent or legal guardian where permitted by applicable law.
- Organizational Authority: If you access or use the Service on behalf of a company, corporation, partnership, educational institution, government agency, or other legal entity, you represent and warrant that you possess full legal authority to bind that entity to these Terms. In that event, "you" and "your" refer collectively to both you individually and that legal entity.
- Sanctions and Export Compliance: You represent and warrant that you are not located in, organized under, or a resident of any country or territory subject to comprehensive government trade sanctions, and that you are not listed on any government denied-party or restricted-party list.
- Registered Accounts and Credentials: Core PDF tools on PDFZento are available without user registration or account creation. If you choose to create a registered account (such as for managing preferences or future account features), you are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account to the extent permitted by applicable law. You agree not to share your account credentials and to notify PDFZento promptly at [email protected] if you suspect any unauthorized access or security breach involving your account.
4. Description of the Service
PDFZento provides a comprehensive suite of online document utilities designed to inspect, convert, merge, split, compress, edit, annotate, organize, secure, sign, redact, and transform Portable Document Format (PDF) files and related file formats.
The Service is made available over the public internet via modern web browsers. You acknowledge and agree that:
- The Service operates primarily via your web browser and relies heavily on your device's hardware, available random-access memory (RAM), operating system, and browser WebAssembly capabilities.
- We continually update, test, and improve our tools. Features, user interfaces, output specifications, supported file formats, and execution speeds may be updated, modified, or discontinued at any time without prior liability.
- While we engineer our software to achieve high document fidelity, PDF is an intricate specification with decades of proprietary extensions. We cannot guarantee that every PDF document, font subset, vector curve, encryption method, or form field will be processed without rendering variations or discrepancies.
5. Local and Browser-Based Processing
A fundamental architectural principle of PDFZento is on-device client-side execution:
- Standard Client-Side Tools: For our standard suite of PDF utilities (including merging, splitting, compressing, rotating, editing, organizing, annotating, flattening, watermarking, grayscale conversion, and vector modifications), document processing occurs locally inside your web browser using WebAssembly (Wasm) and Web Workers.
- No Document Byte Uploads for Local Tools: When using standard local tools, the binary bytes, text streams, and images contained within your source files remain inside your computer or mobile device's local memory. Your source PDF files and extracted document bytes are not uploaded to, transmitted across, or stored on PDFZento web servers.
- Application Memory Lifecycle: Standard local tools load document data into temporary browser application memory solely for the active duration of your processing session. Closing the browser tab or navigating away terminates the application session and releases active memory references. Please note that underlying device memory management, operating system virtual memory paging, browser crash recovery mechanisms, local browser caches, browser extensions, downloaded files, and user-created local copies remain under the control of your device and browser, not PDFZento.
- Distinction Between Document Bytes, Telemetry, and Account Data: We maintain a strict technical separation between document content and operational data. Document bytes never reach our servers for local tools. Independent operational signals (such as aggregate anonymized performance telemetry, opaque anonymous abuse-prevention tokens, and optional account credentials for registered users) are handled separately and transparently in accordance with our Privacy Policy.
- Server-Assisted Features: Certain features may utilize server-assisted processing where explicitly identified (such as cloud-based document AI assistance or specialized server conversions). Where a feature operates locally in your browser, document data is processed entirely on your device. Where a feature utilizes server assistance, document data submitted specifically for that feature is transmitted over secure TLS 1.3 encrypted connections and processed in ephemeral computing sandboxes with automated deletion policies as detailed in our Privacy Policy.
While we implement robust security practices within our web application code, you remain responsible for maintaining the security of your own browser, extensions, operating system, and physical hardware.
6. User Files, Content and Ownership
PDFZento does not claim any intellectual property ownership or proprietary rights in the documents, text, images, graphics, signatures, or data that you load, process, or transform through the Service (collectively, "User Content").
- You Retain Your Existing Rights: As between you and PDFZento, you retain all existing rights, title, copyright, and intellectual property interests that you lawfully hold in your User Content and in any resulting output documents generated through your use of the Service. Processing a document through PDFZento does not transfer ownership of your files to PDFZento.
- No Grant of Third-Party Rights: Using PDFZento to transform, convert, split, compress, or manipulate a file does not grant you any new or expanded intellectual property rights in third-party copyrighted materials, trademarks, or proprietary content that you do not already hold lawful license or permission to use. You remain entirely responsible for ensuring you have all requisite rights, authorizations, and permissions to process the source materials and to generate, store, or distribute the resulting output.
- Limited Technical License: To the extent that transmitting, loading, caching, rendering, or processing your User Content involves an intellectual property right under applicable law, you grant PDFZento only a strictly limited, non-exclusive, worldwide, royalty-free, revocable license to temporarily access, render, display, process, and manipulate your User Content solely and exclusively for the purpose of operating the Service and delivering the requested document processing operations back to your device.
- No Commercial Exploitation or AI Mining: We will never sell, rent, license, publish, mine, or use your User Content or output documents for marketing, public distribution, commercial exploitation, or machine-learning model training without your separate, explicit written consent.
- Responsibility for Backups: Because client-side operations are ephemeral and files are processed in your local browser memory, PDFZento does not maintain permanent archives or backup copies of your files. You are solely responsible for maintaining independent, secure backup copies of all original documents and processed outputs.
7. Your Responsibilities and Representations
Whenever you access or use PDFZento to process documents, you represent, warrant, and covenant that:
- You are the lawful owner of, or hold all necessary licenses, permissions, authorizations, consents, and legal rights to submit, process, modify, extract, transform, sign, or redact all User Content you load into the Service.
- Your processing of the User Content does not infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, moral right, privacy right, publicity right, or other proprietary right of any third party.
- Your processing of the User Content complies with all applicable national, federal, state, and local laws, regulations, export controls, confidentiality obligations, and professional rules of conduct.
- If your User Content contains sensitive personal data, healthcare data (e.g., protected health information), educational records, or financial information, you possess all necessary legal authorizations and statutory consent required under relevant data protection laws (such as the GDPR, UK GDPR, Australian Privacy Act, or India DPDP Act) to process such information.
8. Acceptable Use Policy
You agree to use PDFZento solely for lawful, legitimate, and authorized purposes. You agree that you will not, and will not permit, assist, or encourage any third party to:
- Illegal or Harmful Activity: Use the Service to process, create, distribute, or transmit any document, file, or material that is illegal, defamatory, obscene, harassing, fraudulent, hateful, invasive of another's privacy, or that promotes violence, terrorism, or illegal conduct.
- Malicious Code and Exploitation: Upload, inject, or transmit any file containing malicious software, viruses, trojans, worms, logic bombs, ransomware, corrupted PDF streams, or scripts intended to exploit browser vulnerabilities or damage computing systems.
- Infrastructure Abuse and Denial of Service: Launch, execute, or facilitate denial-of-service (DoS or DDoS) attacks, automated bot traffic, stress-testing, port-scanning, or disproportionate request volumes designed to impair or disrupt the availability of our web servers, edge networks, or hosting infrastructure.
- Unauthorized Scraping and Automation: Access the Service through unauthorized automated means (such as unapproved web spiders, headless scrapers, data-mining bots, or automated extraction tools) without our prior written authorization, except for standard search engine indexers adhering to our robots.txt directives.
- Circumvention and Security Tampering: Attempt to bypass, disable, circumvent, tamper with, or forge rate limits, security tokens, cryptographic signatures, anonymous quota mechanisms, signed entitlement leases, or network access controls.
- Reverse Engineering: Decompile, disassemble, reverse-engineer, or attempt to derive source code from any server-side software or proprietary backend systems of PDFZento, except strictly to the extent that applicable mandatory law expressly prohibits contractual restrictions on reverse engineering for interoperability.
- Infringement and Impersonation: Misrepresent your identity, impersonate any person or entity, forge digital signatures, alter official government or legal certificates fraudulently, or process materials that infringe third-party copyright or trademark rights.
9. Free Services, Usage Limits and Quotas
PDFZento provides access to core browser-based document utilities on a free-to-use basis without requiring mandatory user registration or payment information.
- Operational Safeguards: To ensure equitable access, platform stability, and abuse prevention across our global user base, free use of the Service is subject to reasonable daily operational quotas, file-size limits, and rate limitations.
- Current Limits: Free tier limits (which may include maximum file size thresholds, page count limits, batch processing maximums, and daily operation or download quotas) are published transparently on our Pricing Page and indicated within relevant tool interfaces.
- Free Tier and Advertising: The free tier may be supported by advertising. The availability, placement, and format of advertisements may change over time. Paid plans, when offered, may provide an experience with different advertising treatment as described at the time of purchase.
- Modification of Limits: PDFZento reserves the right to adjust, update, or refine free quota thresholds, rate limits, or file-size ceilings from time to time to accommodate server capacity, platform health, and security requirements.
10. Future Paid Services and Billing
As of the effective date of these Terms, core document processing on PDFZento is available without charge. PDFZento may introduce optional commercial features, elevated quotas, batch processing passes, or subscription tiers (collectively, "Paid Services") in the future.
- Future Offerings: Future paid services may include one-time purchases (such as single-task or 24-hour passes), recurring subscriptions, or expanded usage entitlements. No paid subscription or purchase is currently required to use standard tools.
- Payment Processors and Lemon Squeezy: When paid services are made available, payments may be processed through third-party payment providers, including Lemon Squeezy. The applicable checkout page will identify the relevant payment provider and material billing terms. Your use of third-party payment services may also be subject to the payment provider's applicable terms and privacy policy.
- Advance Notice and Transparent Terms: Prior to completing any transaction, the checkout flow will clearly disclose the price, billing frequency, renewal terms, cancellation process, applicable taxes, refund terms, payment provider, and applicable statutory consumer rights.
- No Retroactive Charges: Free tools you utilize prior to any commercial rollout will never be retroactively billed, and you will never be charged without your affirmative, explicit purchase action.
11. Cancellation, Refunds and Consumer Rights
Standard PDF utilities on PDFZento are currently provided free of charge. If and when Paid Services become available in the future, the following principles will govern cancellations, refunds, and purchases, subject always to mandatory consumer protection laws:
- Statutory Consumer Protections Preserved: Nothing in these Terms limits, diminishes, or excludes any mandatory statutory rights, remedies, cooling-off periods, or consumer guarantees that you may possess under applicable laws in your jurisdiction (including the EU Consumer Rights Directive 2011/83/EU, UK Consumer Rights Act 2015, Australian Consumer Law, and consumer protection statutes across Canada and India).
- Purchase Process and Withdrawal Rights: Where applicable consumer laws provide a statutory right of withdrawal or cooling-off period for digital services or digital content, any request for immediate digital performance and any legally required affirmative consent and acknowledgment concerning the loss or expiry of a withdrawal right will be explicitly presented and obtained through the applicable commercial checkout or purchase flow before completion of the transaction. Agreeing to these general website Terms alone does not constitute an automatic pre-emptive waiver of any mandatory statutory withdrawal right.
- Clear Refund Procedures: Specific instructions for requesting refunds, canceling recurring subscriptions, and disputing billing discrepancies will be published alongside any commercial checkout flow when paid monetization is publicly introduced.
12. Service Availability, Modifications and Technical Limits
We strive to provide a reliable, high-performance platform, but we do not guarantee uninterrupted, continuous, or error-free operation of the Service.
- Downtime and Maintenance: Access to the Service may occasionally be interrupted, suspended, or restricted due to scheduled maintenance, system updates, emergency repairs, edge routing anomalies, or hardware failures.
- Browser and Hardware Dependencies: Because PDFZento executes complex PDF transformations within your browser environment, performance is intrinsically constrained by your hardware specifications, available system memory, processor architecture, browser version, and active third-party browser extensions (such as aggressive ad blockers or script disablers).
- Modifications to the Service: We reserve the right to alter, enhance, replace, or withdraw any tool, feature, workflow, or user interface at any time. We will not be liable to you or any third party for any modification, suspension, or discontinuance of any portion of the Service.
13. PDFZento Intellectual Property and Limited License
All right, title, and interest in and to the Service—including but not limited to the website architecture, user interface designs, visual layouts, graphics, text, brand names, logos, domain names, compilation of content, custom code, and software algorithms (excluding third-party open-source libraries and your User Content)—are and remain the exclusive property of PDFZento and its licensors.
- Limited License to Use: Subject to your continuous compliance with these Terms, PDFZento grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable, limited license to access and use the Service via a standard web browser for your personal, academic, professional, and lawful commercial document processing needs.
- Open-Source Acknowledgments: Certain components, compilers, or libraries utilized by our client-side engines are licensed under applicable third-party open-source software licenses (such as MIT, Apache 2.0, or BSD). Nothing in these Terms restricts, impairs, or limits your rights under the specific license terms of those respective open-source projects.
- Reservation of Rights: All rights not expressly granted to you in these Terms are reserved by PDFZento. You may not copy, modify, distribute, sell, lease, frame, scrape, or create derivative works of our site branding, interface components, or proprietary software without our prior written permission.
14. Third-Party Services and Infrastructure
To deliver fast, secure global access, PDFZento utilizes trusted third-party cloud infrastructure and services.
- Edge Network and CDN: The website and static assets are delivered via Cloudflare edge infrastructure to ensure fast global delivery, DDoS mitigation, and edge security.
- Third-Party Links: The Service may contain links to external third-party websites or services. We do not operate, control, endorse, or assume responsibility for the content, privacy policies, terms, or practices of any external third-party websites. You access external websites at your own discretion and risk.
15. Privacy and Personal Data
Your privacy is paramount to our service design. Our collection, use, and protection of personal data are governed strictly by our Privacy Policy, which is incorporated into and forms an integral part of these Terms.
By using the Service, you acknowledge that you have reviewed our Privacy Policy and understand how we handle technical telemetry, anonymous abuse-prevention tokens, optional account data, and document lifecycles.
16. Disclaimers and "As Is" Operation
PLEASE READ THIS SECTION CAREFULLY, AS IT LIMITS THE SCOPE OF PDFZENTO'S LEGAL WARRANTIES AND OBLIGATIONS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW:
- THE SERVICE, ALL TOOLS, FUNCTIONALITIES, SOFTWARE, AND OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
- PDFZENTO AND ITS OPERATORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
- WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE MAKE NO WARRANTY OR REPRESENTATION THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS, LEGAL, REGULATORY, OR TECHNICAL REQUIREMENTS; (B) OPERATION OF THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) OUTPUT FILES WILL BE ACCURATE, COMPLETE, LOSSLESS, OR COMPLIANT WITH SPECIALIZED PDF STANDARDS; OR (D) DEFECTS OR RENDERING ANOMALIES IN THIRD-PARTY PDF FILES WILL BE IDENTIFIED OR CORRECTED.
Statutory Consumer Guarantee Carve-Out: SOME JURISDICTIONS (INCLUDING AUSTRALIA, THE EUROPEAN UNION, THE UNITED KINGDOM, AND CERTAIN U.S. STATES AND CANADIAN PROVINCES) DO NOT ALLOW THE EXCLUSION OF CERTAIN STATUTORY WARRANTIES OR CONSUMER GUARANTEES. IN SUCH JURISDICTIONS, THE FOREGOING DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE MANDATORY LAWS OF THOSE JURISDICTIONS.
17. Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY, AS IT APPORTIONS AND LIMITS POTENTIAL LEGAL LIABILITIES BETWEEN YOU AND PDFZENTO TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Exclusion of Consequential and Indirect Damages: IN NO EVENT SHALL PDFZENTO, ITS OPERATORS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR RELIANCE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, DOCUMENT CORRUPTION, SYSTEM DOWNTIME, WORK STOPPAGE, COMPUTER OR MOBILE DEVICE FAILURE, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE USE OF OR INABILITY TO USE THE SERVICE, OR ANY OUTPUT PRODUCED BY THE SERVICE, UNDER ANY CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Monetary Liability Cap: SUBJECT TO THE MANDATORY NON-EXCLUDABLE STATUTORY EXCEPTIONS SET FORTH BELOW, AND SOLELY TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF PDFZENTO, ITS OPERATORS, AND ITS SERVICE PROVIDERS FOR ALL CLAIMS, DISPUTES, LIABILITIES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE STRICTLY LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO PDFZENTO FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) [LIABILITY CAP: e.g., FIFTY UNITED STATES DOLLARS ($50.00 USD) OR EQUIVALENT LOCAL CURRENCY AMOUNT / TO BE CONFIRMED BY BUSINESS AND LEGAL COUNSEL PRIOR TO COMMERCIAL RELIANCE].
Mandatory Non-Excludable Liability Notice: Nothing in these Terms shall exclude, limit, or restrict any liability, right, remedy, or consumer guarantee that cannot lawfully be excluded, restricted, or modified under applicable mandatory law. Specifically, nothing in these Terms excludes or limits liability for: (i) death or personal injury resulting directly from our gross negligence or willful misconduct; (ii) fraud or fraudulent misrepresentation; (iii) intentional misconduct; or (iv) any statutory consumer rights and statutory consumer guarantees that cannot be excluded under the laws of your jurisdiction (including applicable provisions of the Australian Consumer Law, the EU Consumer Rights Directive, or the UK Consumer Rights Act 2015).
18. Indemnification
To the extent permitted under applicable law, you agree to defend, indemnify, and hold harmless PDFZento, its operators, officers, directors, employees, contractors, and agents from and against any third-party claims, demands, liabilities, damages, losses, penalties, and reasonable legal and accounting fees arising out of or directly related to:
- Your material violation or breach of any provision of these Terms;
- Your User Content, including any claim that your processing, transformation, or use of documents infringes, misappropriates, or violates any third-party intellectual property, privacy, or legal right; or
- Your unlawful, fraudulent, or willfully negligent use of the Service.
Consumer Carve-Out: If you are a consumer residing in a jurisdiction whose mandatory consumer protection laws prohibit or restrict indemnification obligations imposed on individual consumers, this indemnification section shall apply to you only to the extent permitted by the mandatory laws of your jurisdiction.
19. Suspension and Termination
We reserve the right to suspend, restrict, throttle, or terminate your access to all or part of the Service immediately, with or without prior notice, if:
- You materially or repeatedly breach any provision of these Terms or our Acceptable Use Policy;
- We reasonably detect, suspect, or determine that your activity poses a severe security risk, attempts to bypass rate limits or quotas, launches attacks against our infrastructure, or introduces malicious code;
- We are required to take action to comply with applicable laws, court orders, or governmental directives; or
- We elect to discontinue or shut down the Service in whole or in part.
Upon termination of your access, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, indemnification obligations, and dispute resolution terms.
20. Copyright and Intellectual Property Complaints
PDFZento respects the intellectual property rights of others. Because standard document processing executes locally on your device without uploading files to our servers, PDFZento does not host, curate, publish, or maintain a publicly accessible repository of user documents.
If you nonetheless believe that any content, software, branding, or material residing on or accessible through our website infringes upon your copyright or intellectual property rights, please submit a written notification to our designated copyright contact:
- Email for IP Complaints: [email protected] (Subject: "Intellectual Property Notice")
- Required Details: Please include: (a) a physical or electronic signature of the authorized copyright owner; (b) identification of the copyrighted work claimed to have been infringed; (c) the specific URL or location on the Service where the allegedly infringing material is located; (d) your contact details (name, address, telephone number, and email); and (e) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
21. Changes to These Terms
We may revise, update, or amend these Terms from time to time to reflect changes in our tools, technology, operational practices, legal and regulatory requirements, or commercial offerings.
- Publication of Changes: Whenever updates are made, we will update the "Last Updated" date displayed at the top of this document.
- Material Changes: If we make material changes that significantly affect your legal rights or obligations, we will provide commercially reasonable advance notice by posting a prominent notice on our website or within our tools prior to the changes taking effect.
- Your Continued Use: Your continued access to or use of the Service following the posting of revised Terms constitutes your acknowledgment and acceptance of the revised Terms. If you disagree with any changes, your sole and exclusive recourse is to stop using the Service.
22. Governing Law, Dispute Resolution and Jurisdiction
Please review the following dispute resolution provisions:
- Informal Dispute Resolution: Before initiating formal legal proceedings, you and PDFZento agree to make a good-faith effort to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service informally. You agree to contact us first at [email protected] with a concise written summary of your dispute and your requested resolution. Both parties agree to allow thirty (30) days for informal resolution before seeking formal legal remedies.
- Governing Law: Except to the extent that mandatory consumer protection laws in your country of residence require the application of local law, these Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of [GOVERNING LAW: e.g., State/Country of Operating Entity], without regard to its conflict of law principles.
- Jurisdiction and Venue: Subject to mandatory consumer law exceptions, any legal action, suit, or proceeding arising under or related to these Terms shall be instituted exclusively in the competent courts located in [COURT / JURISDICTION: e.g., City, State/Province, Country], and each party irrevocably submits to the personal jurisdiction of such courts.
- Mandatory Consumer Rights Exception: If you are an individual consumer residing in the European Union, the United Kingdom, Australia, India, or Canada, nothing in this section deprives you of the protection afforded to you by provisions that cannot be derogated from by agreement by virtue of the mandatory law of your country of habitual residence, or deprives you of your right to initiate legal proceedings in the competent local courts of your habitual residence.
23. General Legal Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any specific guidelines published on the Service, constitute the entire agreement between you and PDFZento regarding your access to and use of the Service, superseding all prior oral or written agreements or understandings.
- Severability: If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions of these Terms will continue in full force and effect.
- No Waiver: Our failure or delay in exercising or enforcing any right, power, or remedy under these Terms shall not operate as a waiver of that right, power, or remedy, nor shall any single or partial exercise preclude any further exercise thereof.
- Assignment: You may not assign, transfer, delegate, or sub-license any of your rights or obligations under these Terms without our prior written consent. PDFZento may freely assign, transfer, or delegate its rights and obligations under these Terms (such as in connection with a corporate reorganization, merger, acquisition, or asset sale) without restriction or notice.
- Force Majeure: PDFZento shall not be liable or responsible for any failure or delay in performing its obligations under these Terms where such failure or delay results from events or causes beyond its reasonable control, including acts of God, extreme weather, natural disasters, epidemics, wars, civil unrest, acts of terrorism, labor disputes, telecommunications failures, power grid failures, cloud infrastructure outages, or internet-wide disruption.
- Relationship of Parties: Nothing in these Terms creates an agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and PDFZento.
